These Terms of Service ("Terms") govern your use of all Xenia solutions, including but not limited to Property Management Systems, wellness center software, clinic management tools, and any other products offered by Xenia ("Xenia Solutions" or "Software").

By installing, accessing, or using any Xenia Solution, you agree to be bound by these Terms. If you do not agree, do not use our software. These Terms apply universally across our entire product ecosystem.

1. Universal License Grant

Subject to these Terms and payment of applicable fees, Xenia grants you a non-exclusive, non-transferable, limited license to install and use Xenia Solutions on the number of machines specified in your license agreement.

1.1 Offline-First Philosophy

All Xenia Solutions are licensed as offline-first software. You may use the Software without an active internet connection for core functionality. Internet access is only required for initial license activation and optional software updates—this applies to every Xenia product, from hospitality to healthcare solutions.

1.2 Hardware-Bound Licensing

Your license is bound to specific hardware to prevent unauthorized sharing across all Xenia Solutions. If you need to transfer your license to new hardware (e.g., machine replacement), contact our support team for assistance.

1.3 Universal License Restrictions

You may NOT, for any Xenia Solution:

  • Reverse engineer, decompile, or disassemble the Software
  • Distribute, sublicense, or transfer your license without written permission
  • Use the Software for illegal or unauthorized purposes
  • Remove or alter any proprietary notices or labels
  • Bypass license verification or security features
  • Attempt to circumvent offline-first architecture to enable unauthorized data collection

2. Your Data & Privacy - Core Brand Principle

2.1 Universal Data Ownership

You retain full ownership of all data you input into any Xenia Solution, including client information, operational records, financial data, staff information, and business metrics ("Your Data"). Xenia claims no ownership rights to Your Data across any of our products.

2.2 No Data Collection - Brand Promise

This is a core Xenia brand principle: No Xenia Solution collects, transmits, or stores Your Data on external servers. All data remains exclusively on your local machine or designated local network. We do not implement telemetry, analytics, usage tracking, or any form of data harvesting in any Xenia product—now or in the future.

2.3 Your Responsibilities Across All Solutions

You are solely responsible for:

  • Complying with applicable data protection laws (e.g., NDPR, GDPR, HIPAA where applicable)
  • Obtaining necessary consents from clients, guests, patients, and staff
  • Implementing appropriate data security measures on your infrastructure
  • Regular data backups and disaster recovery planning for each solution
  • Proper user access controls and staff training across all Xenia products
  • Maintaining compliance with industry-specific regulations relevant to your business

2.4 Data Breaches & Security

Since Your Data never leaves your infrastructure in any Xenia Solution, Xenia is not responsible for data breaches occurring on your systems. However, we provide robust security features across all products including local encryption, role-based access control, audit trails, and compliance-ready data handling to help you protect your information.

3. Payment & Fees - Across All Solutions

3.1 One-Time Purchase Model

All Xenia Solutions are available as one-time purchases with perpetual licenses. You pay once and own the license indefinitely. No recurring subscription fees—this applies to every Xenia product.

3.2 Optional Support Plans

While Software licenses are perpetual across all solutions, optional support and maintenance plans are available on an annual basis. These plans include priority support, guaranteed response times, and access to minor version updates for all your Xenia products.

3.3 Major Version Upgrades

Major version upgrades (e.g., v1.x to v2.x) may require additional purchase across any Xenia Solution. Minor updates and bug fixes within your licensed version are provided free of charge.

3.4 Universal Refund Policy

We offer a 30-day money-back guarantee on all Xenia Solutions. If any Xenia product does not meet your needs, contact us within 30 days of purchase for a full refund. Refunds are not available after 30 days.

4. Support & Maintenance - All Solutions

4.1 Community Support

All Xenia Solution users receive access to community support via email. We strive to respond to all inquiries within 48 business hours, regardless of which product you're using.

4.2 Priority Support

Customers with active support plans receive priority support with guaranteed response times (typically within 4-8 business hours) across all Xenia Solutions.

4.3 Universal Support Scope

Our support covers all Xenia Solutions:

  • Software installation and configuration assistance
  • Bug reports and troubleshooting for any product
  • Feature usage guidance across all solutions
  • License activation issues for any Xenia product
  • Cross-solution integration support

Support does NOT include:

  • Data recovery from hardware failures
  • Custom feature development
  • Third-party integration setup
  • Hardware or network infrastructure issues
  • Industry-specific compliance consulting

5. Warranties & Disclaimers - All Xenia Solutions

5.1 Limited Warranty

All Xenia Solutions are warranted to perform substantially in accordance with their documentation for 90 days from purchase. If any Software fails to perform as warranted, we will repair or replace it at no charge.

5.2 "As Is" Disclaimer

EXCEPT FOR THE LIMITED WARRANTY ABOVE, ALL XENIA SOLUTIONS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

5.3 No Liability for Data Loss

Xenia is not liable for any data loss, corruption, or damage resulting from hardware failure, power outages, user error, or other circumstances beyond our reasonable control across any solution. You are responsible for maintaining regular backups of Your Data for each Xenia product you use.

6. Limitation of Liability - All Products

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XENIA'S TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR ANY XENIA SOLUTION SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE LICENSE.

IN NO EVENT SHALL XENIA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR ANY OTHER DAMAGES ARISING FROM YOUR USE OF ANY XENIA SOLUTION.

7. Termination - All Licenses

7.1 Termination by You

You may terminate these Terms at any time by uninstalling all Xenia Solutions and destroying all copies of the Software.

7.2 Termination by Xenia

We may terminate your license for any Xenia Solution if you breach these Terms and fail to cure the breach within 30 days of notice. Upon termination, you must cease all use of the Software and destroy all copies.

7.3 Survival

Sections on warranties, liability, indemnification, data privacy, and general provisions survive termination of these Terms and apply to all Xenia products.

8. Updates & Modifications - All Solutions

8.1 Software Updates

We may release updates, patches, and bug fixes for all Xenia Solutions from time to time. These updates are provided free of charge for minor versions within your licensed major version across all products.

8.2 Terms Modifications

We may modify these Terms from time to time. We will notify you of material changes via email or software update notifications. Your continued use of any Xenia Solution after changes constitutes acceptance of the modified Terms.

8.3 Core Principle Protection

Important: Our core brand principles—offline-first architecture, no telemetry, and data staying on your machine—will never be compromised in any Xenia Solution. These principles are fundamental to our brand identity and will not change.

9. Governing Law & Jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or your use of any Xenia Solution shall be subject to the exclusive jurisdiction of the courts in Lagos, Nigeria.

10. Entire Agreement

These Terms constitute the entire agreement between you and Xenia regarding your use of all Xenia Solutions, superseding any prior agreements or communications. If any provision is found unenforceable, the remaining provisions remain in full force.
